Description

Fendi is seeking an experienced Legal Manager to join its Legal Department. This is a multi-disciplinary role combining corporate governance responsibilities for the Italian holding company, legal support to certain HQ functions, business legal assistance to Fendi’s retail entities across Japan, Korea, Greater China and SEAA (South-East Asia & Australia) and coordination with Fendi HQ’s Ethics & Compliance function for the global implementation of its compliance program across different Regions.

Reporting to the Legal Industrial & Compliance Senior Manager and Business Partner East, the role requires close coordination with the LVMH local legal and compliance teams in the relevant jurisdictions, as well as with Fendi’s HQ legal and compliance team and other HQ functions, and offers significant exposure to an international, matrixed luxury goods organization

Les missions

Corporate Governance and Legal Affairs HQ

  • Manage and coordinate the full corporate governance lifecycle of the Italian holding company and certain Italian subsidiaries, including shareholders’ and Board of Directors’ meetings (preparation, convening, agenda setting, minute-taking and follow-up);
  • Draft, review and manage power of attorney and delegation of authorities, ensuring consistency with the corporate governance framework and internal authorization matrices;
  • Act as a point of reference for corporate governance matters, in coordination with LVMH HQ corporate governance team, notaries, auditors and external advisors as needed;
  • Provide day-to-day legal support to certain Fendi HQ's corporate departments (mainly Procurement, HR, Facility and Finance), including drafting, review and negotiation of supply and vendor agreements and related contractual documentation, as well as general legal advice on relevant matters;
  • Support the Health & Safety function on legal aspects of workplace health and safety matters at Fendi corporate offices, including regulatory compliance and contractual arrangements with relevant service providers.

Business Legal Support to Regions

  • Serve as primary legal point of contact for Fendi’s retail entities operating in Japan, Greater China, Korea and SEAA (South-East Asia & Australia), working in close coordination with, and with the support of, LVMH’s local legal teams in each jurisdiction;
  • Advise local teams on day-to-day retail legal matters, including store operations, sales and after-sales terms, promotional and marketing initiatives, and consumer protection considerations;
  • Manage legal aspects of facility and store-related matters, including lease agreements and other real estate contracts for retail locations, negotiating terms with the landlords, in coordination with LVMH’s local legal teams;

Ethics & Compliance

  • Support Fendi HQ's Compliance team in the implementation and rollout of Fendi's global compliance program across all retail entities worldwide;
  • Contribute to compliance initiatives in the areas of anti-money laundering (AML), anti-corruption, international sanctions, conflicts of interest, third-party due diligence, gifts and donations, whistleblowing and duty of vigilance/supply chain monitoring;
  • Support local entities in adapting and implementing Group compliance policies and procedures in line with applicable local laws and regulations, monitoring regulatory developments as relevant;
  • Participate in compliance risk assessments, audits and monitoring activities, and contribute to reporting on compliance program effectiveness;

Profil

Law degree; qualification as a licensed attorney (Avvocato or equivalent) is preferred; Approximately 8–10 years of relevant post-qualification experience; Prior experience in Corporate Governance (especially from an Italian law perspective), Ethics & Compliance matters and Business Law, preferably with a focus on luxury retail, gained in international law firms and/or well-structured multinational companies; Excellent command of English and Italian, both written and spoken; additional languages are a plus; Demonstrated ability to work effectively in an international, cross-cultural and matrixed environment, collaborating with stakeholders across multiple time zones and jurisdictions; Strong organizational skills, attention to detail, and ability to manage a broad and varied portfolio of legal matters simultaneously; Pragmatic, business-oriented approach with strong communication and interpersonal skills; Prior experience in the luxury retail sector will be considered a strong preferential asset.   LVMH is committed to non-discrimination and respect of each person’s singularities.
